NM Northern Empire Resources Corp (delisted)

TORONTO, ONTARIO ("Next Millennium") has engaged Canaccord Capital Corporation ("Canaccord") as lead agent to place on a "commercially reasonable basis", by way of private placement, 12 million units (the "Units") at a price of $0.50 per Unit (the "Brokered Offering"). Each Unit will be comprised of one common share and one warrant. Each warrant will be exercisable into one additional common share at $1.00 per share for a period of one year from closing.

Next Millennium will also be undertaking a parallel non-brokered offering of 12 million Units to raise additional gross proceeds of up to CDN$6 million (the "Non-Brokered Offering").

Canaccord's commitment to complete the Brokered Offering is subject to standard due diligence and termination options. On closing, Canaccord will receive a commission of 7% of gross proceeds raised in the Brokered Offering in cash or Units at Canaccord's discretion and agent's warrants equal to 5% of the Units sold under the Brokered Offering. Each agent's warrant shall be exercisable into one common share of Next Millennium for a period of 12 months from closing at $0.65. Canaccord will also receive a corporate finance fee payable in Units.

Gross proceeds of up to $12 million from the Brokered Offering and Non-Brokered Offering will be used to fund Next Millennium's acquisition of Roadrunner Oil & Gas Inc., to acquire additional exploration leases and to complete exploration of prospects to be identified on Roadrunner Oil & Gas Inc. leased lands.
