( 1)  The shares were purchased by New Dragon Asia Food Ltd. Mr. Heng Jing Lu, Chairman of the Issuer, holds 100% of the equity interests of New Dragon Asia Food Ltd and has the sole voting and dispositive control of the shares held by New Dragon Asia Food Ltd., and Mr. Lu is thereby deemed to have beneficial ownership of such shares.
