(the
"Instruments")
National Gas
Transmission plc ("NGT")
announces that it has agreed a privately negotiated bilateral
repurchase of £160,000,000 in principal amount of the Instruments
for cash on 4 February 2025 (the "Repurchased Instruments") at a price
equal to £ 293,636,000 with the sole holder
of all of the Instruments (the "Repurchase").
The
Repurchase is subject to the issuance by NGT of £300,000,000 of
instruments under its Euro 10,000,000,000 Euro Medium Term Note
Programme, which is expected to occur on 4 February
2025.
Once
concluded, the Repurchase will leave
£140,000,000 in principal amount of the Instruments
outstanding.
It is
expected that the Repurchased Instruments will be cancelled and
delisted on or before 5 February 2025.
