RHP Finance plc - GBP275,000,000 3.25 per cent. Secured Bonds due 2048

RHP Finance plc (the Issuer) has issued GBP275,000,000 3.25 per cent. Secured Bonds due 2048 (the Bonds) and the Issuer has on-lent the proceeds of the Bonds to Richmond Housing Partnership Limited (RHP) pursuant to a bond loan agreement dated 5 February 2015 as supplemented on 15 September 2020 (as amended or supplemented from time to time, the Bond Loan Agreement).

The terms of the Bond Loan Agreement include a requirement for RHP to provide to the Issuer and to M&G Trustee Company Limited a copy of its consolidated audited financial statements for each financial year within 180 days of the end of such financial year.

RHP has been informed by its auditors that it will be unable to finalise its audit of RHP's consolidated financial statements for the financial year ended 31 March 2022 (the 2022 Financial Statements) by the required date.

On the basis that the cause of delay is due to circumstances which are outside of the control of RHP and the Issuer, RHP and the Issuer have sought, and obtained, the consent of the bond trustee under the Bonds for an extension of the requirement to publish the 2022 Financial Statements by Tuesday 4(th) October 2022.
