Notice of Resignation, Appointment and Merger of Registrar under the U.S.$65,000,000,000 Bank of America Corporation Euro Medium-Term Note Program dated January 27, 2017 (the "Program")

To: All holders of securities, as identified by the ISIN numbers below, which are listed on London Stock Exchange and remain outstanding under the Program (the "Relevant Instruments")

In accordance with the Amended and Restated Agency Agreement dated May 20, 2016, as supplemented by the Supplemental Agreement to the Amended and Restated Agency Agreement dated January 27, 2017 between, among others, Bank of America Corporation ("BAC") and Merrill Lynch Equity S.à r.l. ("MLESA") and in respect of the Relevant Instruments, BAC gives notice that with effect from September 13, 2018, MLESA shall resign and Bank of America Merrill Lynch International Limited, Dublin branch, shall be appointed as Registrar thereunder.

Further, BAC hereby gives notice of the proposed merger of Bank of America Merrill Lynch International Limited into Bank of America Merrill Lynch International Designated Activity Company ("BAMLI DAC"), the effective date of which is subject to certain approvals, including approvals by the English and Irish courts. The effective date is anticipated to be in December 2018. Upon such merger becoming effective, BAMLI DAC shall become Registrar in respect of the Relevant Instruments.
