Offer Update 
 
 
Update regarding Premier League approval 
 
Reference is made to the announcement from Grandtop dated 21 August 2009 in 
relation to, among other things, the proposed conditional offer by Grandtop to 
acquire all the issued and to be issued share capital of Birmingham City PLC not 
already held by Grandtop (the "Offer"). The Offer was set out in the Offer 
Document dated 15 September 2009 and the accompanying Form of Acceptance. Terms 
used herein shall have the same meanings as defined in the Offer Document. 
 
The Premier League has confirmed to Grandtop that it has no objection to 
Grandtop increasing its stake in Birmingham City PLC to over 30%. The Premier 
League has also confirmed that Carson Yeung Ka Sing and Vico Hui Ho Luek qualify 
for appointment as Directors of Birmingham City FC and that their appointment as 
Directors of the Club may, so far as the Premier League is concerned, proceed. 
 
Birmingham City Shareholders wishing to accept the Offer should do so no later 
than 1.00 p.m. on 6 October 2009, the First Closing Date in accordance with the 
instructions set out in the Offer Document, and where appropriate, the 
accompanying Form of Acceptance.
