    Hiestand Shareholders Approve Merger of Hiestand and IAWS


    IAWS has been informed by the board of Hiestand, that Hiestand shareholders have approved the merger of IAWS and Hiestand to create
ARYZTA, the global leader in value added baked goods. The merger was supported by 91.3% of Hiestand shareholders. In July over 99.97% of
IAWS shareholder poll voted in favour of the merger. The Hiestand shareholder approval was the final substantive step required prior to
effecting the creation of ARYZTA. 


    Trading in IAWS shares will cease from close of trading on Wednesday 20th August 2008. It is expected that the Scheme will become
Effective on Thursday 21 August 2008 and admission of, and commencement of dealings in, ARYZTA on the SWX in Zurich and the Irish Stock
Exchange in Dublin will begin at 9am CET in Zurich and in Dublin at 8am BST on Friday 22nd August 2008. 

    ARYZTA will have a dual primary listing on the SWX in Zurich and the Irish Stock Exchange in Dublin and will be a member of the relevant
Swiss and Irish indices.


    CEO of IAWS, Owen Killian commenting the imminent creation of ARYZTA said;

    Terms defined in the Scheme Document have the same meaning in this announcement.
