In accordance with the FSA's Disclosure and Transparency Rules, ScS Upholstery
plc's capital consists of 34,104,284 ordinary shares of 1p each ("Ordinary
Shares") including 214,750 Ordinary Shares held by Bailhache Labesse Trustee
Limited as Trustee of the ScS Upholstery Employees' Share Trust ("The Trust").


Therefore the total number of voting rights in ScS Upholstery plc is 33,889,534.


The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, ScS Upholstery plc under the
FSA's Disclosure and Transparency Rules.
