outstanding and entitled to vote. As a result, the holders of 21,931,134 shares must be present in person or represented by proxy at the Special Meeting for there to be a quorum.
Your shares will be counted towards a quorum only if you submit a valid proxy (or one is submitted on your behalf by your broker, bank or other nominee) by
January 30, 2024 or if you vote at the Special Meeting. Abstentions and broker non-votes will be counted toward the quorum requirement. If there is no quorum, the holders of a majority of shares present
at the Special Meeting or represented by proxy may adjourn the Special Meeting to another date.
Once a share is represented for any purpose at the
Special Meeting, it is deemed present for quorum purposes for the remainder of the meeting and any adjournment thereof unless a new record date is set for the adjournment.

How can I find out the results of the voting at the Special Meeting?
Preliminary voting results will be announced at the Special Meeting. In addition, final voting results will be reported in a Current Report on Form 8-K that we expect to file within four business days after the Special Meeting. If final voting results are not available to us in time to file a Form 8-K within four business
