Item 8.01 Other Events

On August 29, 2024, John Jenkins M.D., a member of the board of directors of Corbus Pharmaceuticals Holdings, Inc. (the “Company”), adopted a Rule 10b5-1 plan providing for the sale of up to 5,436 shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”). Pursuant to this plan, Dr. Jenkins may sell shares of Common Stock beginning on November 30, 2024, subject to the terms of the agreement, and the plan terminates on November 29, 2025. The trading arrangement is intended to satisfy the affirmative defense of Rule 10b5-1(c).
