Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 14, 2008, Greater Community Bank, a subsidiary of Greater Community Bancorp, entered into Amendment No. 2 to the Employment Agreement with Mary Smith, who serves as President and Chief Executive Officer of Highland Capital Corp., a subsidiary of Greater Community Bank. Pursuant to the terms of the amendment, Ms. Smith's employment term has been extended to December 31, 2008. This summary of the amendment is qualified in its entirety by the full text of the amendment, which is attached as Exhibit 10.1 to this Report and is incorporated herein by reference.
