The Board of Directors recommends a vote FOR all the nominees listed, FOR Proposals 2, 4 and 5, and for 3 YEARS on Proposal 3: 1. Election of three Directors 2. To adopt a non-binding resolution to approve the compensation of our named executive officers; 3. Advisory vote on the frequency of the non-binding resolution to approve the compensation of our named executive officers; 4.
