Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 11, 2022 (the “Effective Date”), Andrew J. McLean, President, International, informed American Eagle Outfitters, Inc. (the “Company”) that he was resigning from the Company as of the Effective Date. The Company accepted Mr. McLean's resignation as of the Effective Date.
