in trademarks, service marks, trade dress, logos, trade names and other source identifiers, and any goodwill associated therewith; (c) rights associated with trade secrets, know how, and
confidential information (including technical information, inventions and invention disclosures (whether or not patented or patentable and whether or not reduced to practice), data (including user data, whether in identifiable or anonymized form),
databases, data collections, designs, processes, testing procedures, testing results and business, financial, sales and marketing plans); (d) patents and industrial property rights; (e) rights associated with domain names, uniform resource
locators, Internet Protocol addresses, social media handles and other names, identifiers, and locators associated with Internet addresses, sites and services; (f) computer programs (whether in source code, object code, human readable form or
other form), code (including software implementations of algorithms, models and methodologies), applications, application programming interfaces, firmware, software development kits, library functions, operating systems and virtualization
environments, user interfaces, diagnostic tools, compilers and version control systems (collectively, Software); (g) moral rights, economic rights, database rights, design rights, industrial property rights, publicity
rights, and privacy rights; (h) other similar proprietary rights in intellectual property of every kind and nature; (i) all registrations, renewals, extensions, statutory invention registrations, provisionals, continuations, continuations-in-part, divisionals, or reissues of, and applications for, any of the rights referred to in clauses (a) through (h) above; and
(j) all actions, proceedings and rights to sue at law or in equity for past, present and future infringement, misappropriation, dilution or other violation or impairment of any of the foregoing, including the right to receive all proceeds and
damages therefrom, and all rights to obtain renewals, continuations, divisions or other extensions of legal protections pertaining thereto.
IRS shall mean the Internal Revenue Service.
Investment Screening Laws means any Legal Requirement that is designed or intended to screen, prohibit, restrict or
regulate investments on public order and national security grounds.
IT Assets means all computers (including
servers, workstations, desktops, laptops and handheld devices), Software, hardware, networks, firmware, middleware, routers, hubs, switches, data communications lines, data storage devices, data centers, operating systems and other information
technology equipment and other information technology hardware and infrastructure, including any
Infrastructure-as-a-Service or other hybrid cloud services owned or used by the Company or any of its Subsidiaries.
knowledge shall mean (a) with respect to the Company, the actual knowledge of the individuals
listed in Part A of the Company Disclosure Letter following reasonable inquiry of their direct reports reasonably expected to have knowledge of such matters and (b) with respect to Parent or Merger Sub, the actual knowledge of the
individuals listed in Part A of the Parent Disclosure Letter following reasonable inquiry of their direct reports reasonably expected to have knowledge of such matters.
Leased Real Property shall have the meaning set forth in Section 2.7(b).
Legal Proceeding shall mean any action, suit, charge, complaint, litigation, arbitration, proceeding (including any
civil, criminal, administrative, investigative or appellate proceeding), hearing, inquiry, audit, examination or investigation commenced, brought, conducted or heard by or before, or otherwise involving, any court or other Governmental Body or any
arbitrator or arbitration panel.
