The Form 20-F of Tata Communications Limited (the “Company”) for the fiscal year ended March 31, 2012 (the “2012 20-F”) will not be filed by the prescribed due date (i.e., July 31, 2012) because the 2012 20-F could not be completed without unreasonable effort or expense prior to such date .  The Company undertakes to file the 2012 20-F on or before August 15, 2012 (i.e., the fifteenth calendar date after the prescribed due date).
