a private placement of 14,737,510 common shares at a price of
US$0.0238 per common share for gross
proceeds of US$350,752.74 (the
"Offering"). The Offering was purchased by a single
individual purchaser.
The Company expects to use the proceeds from the Offering to pay
amounts owing to certain creditors of the Company.
