PART III - NARRATIVE

State below in reasonable detail the reasons why the Form 10-K and Form 10-KSB, 11-K, 20-F, 10-Q and Form 10-QSB, N-SAR, or other transition report or portion thereof, could not be filed within the prescribed period.

The Company recently underwent a change in control of its board of directors and management personnel, as previously reported in a Current Report on Form 8-K filed with the Commission on December 22, 2009. In addition, as previously reported in a Current Report on Form 8-K filed with the Commission on December 29, 2009, the Company recently dismissed its former independent registered public accounting firm. Therefore, the Company is unable to file the subject report in a timely manner because the Company was not able to complete timely its financial statements without unreasonable effort or expense. Once the company engages a new independent registered public accounting firm, we will work diligently with the newly engaged independent registered public accounting firm to complete the audit and file the Form 10-K.
