Item 8.01.

Other Events.

On November 18, 2022, the Master Repurchase Agreement and Security Contract between Churchill MRA Funding I LLC, as Buyer, and Sachem Capital Corp., as Seller, was amended to replace 90-LIBOR with 90-day SOFR as the benchmark rate. Accordingly, as of November 21, interest on all amounts outstanding under the Company’s MRA facility result was accruing at the rate of 8.311232% per annum. Prior to the amendment, the rate was 8.3420%.
