                       Result of Placing and Open Offer,
                         Change of name and result of
                         Extraordinary General Meeting
                                       
On 29 February, 2000 GiroVend announced its intention to raise up to a maximum
of  #19.4  million before expenses by way of an issue of up to 19,373,881  new
ordinary  shares  at a price of 100p per share by way of a  placing  and  open
offer.

Of   the   19,373,881  new  ordinary  shares:  16,000,000  were  placed   with
institutional clients of Collins Stewart (GiroVend's brokers).  Under the open
offer  of  up to 3,373,887 new ordinary shares a total of 997,574  (29.57  per
cent.)  new  ordinary shares were subject to valid applications from  eligible
shareholders.   The  remaining  2,376,307 (71.43  per  cent.)  have  not  been
allotted.

The  entire  issued share capital of the Company, including the  new  ordinary
shares  issued  in  connection with the placing and open offer  will  commence
trading on the Alternative Investment Market of the London Stock Exchange on 7
April, 2000.

GiroVend  announces that at an Extraordinary General Meeting held  today,  the
resolutions  proposed  relating  to  the placing  and  open  offer,  the  2000
Unapproved  Share Option Scheme, the 1997 Executive Share Option  Scheme,  the
1999  Share Option Scheme, the issue of warrants to Integrated Dental Holdings
Limited  and  the  change  of  name to Transacsys  plc  were  duly  passed  by
shareholders.
