Employee Benefit Trust Share
Purchase
As part of the successful secondary
placing of ordinary shares in the Company which was announced
earlier today by CRH (UK) Limited, a
subsidiary of CRH plc ("CRH"), through JTC
Employer Solutions Trustee Limited, in its capacity as trustee
("the Trustee") of the SigmaEBT (the "EBT"),
the Company purchased 14,895,581
Ordinary Shares at a price of 67 pence per Ordinary Share on 6 February
2025.
The EBT holds Ordinary Shares for
the benefit of the Company's employees and satisfies the vesting of
awards made under the Company's share incentive schemes.
Following the above transaction, the EBT
holds 29,513,668 Ordinary Shares, representing approximately 2.6% of the Company's issued share
capital.
The current issued share capital of
the Company consists of 1,114,854,530 Ordinary Shares. This
figure may be used by shareholders as the denominator for the
calculations by which they will determine if they
are required to notify their interest in, or a change to their
interest in the Company, under the Disclosure Guidance and
Transparency Rules of the FCA.
