    Telephonetics PLC was today notified that on 29th September 2008, Mark Brooks a non-executive director of the Company transferred
10,939,255 shares in the Company (representing 10.0 per cent. of the issued share capital of the Company) into a nominee account now held by
ROK nominees through Charles Stanley and Company Ltd. 

    As a result of this transaction, his beneficial interest remains unchanged in 12,909,843 Ordinary Shares representing 11.8 per cent. of
the issued share capital of the Company.
