Explanation of Responses:
( 1)  This fractional interest in the Company's shares was acquired by EES Trustees Limited for the account of Mr. Buttery pursuant to and in accordance with the Company's Share Incentive Plan (the "Partnership Plan") which provides that dividends paid on shares previously acquired through the Partnership Plan must be used to acquire further shares and, where the amount of the dividend is not sufficient to acquire a share, participants will be allocated a fractional interest in a share. A dividend of $0.04 per share was paid on May 20, 2013.
( 2)  Price in USD as converted from GBP using the exchange rate on the transaction date of 1.5039 USD per GBP.
