Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On April 22, 2022, Donald Caldwell submitted his resignation as a member of the Board of Directors (the “Board”) of Simplicity Esports and Gaming Company (the “Company”), effectively immediately. Mr. Caldwell’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

 

On the same date, the Board appointed Beatrice Tarka as a member of the Board and as Chairperson of the Board. Ms. Tarka, age 50, was a member of Travelzoo’s board of directors from August 2015 until April 2022. Since September 2000, she has been the founder and Chief Executive Officer of Mobissimo, an online travel search engine that allows users to compare prices of airline tickets, hotel rooms, and car rentals. From 1996 to 2000, she was Chief Executive Officer of Axall Media, a game and entertainment software developer and publisher. Ms. Tarka holds a master’s degree in business administration from Boston University and a bachelor’s degree in international affairs from the American University in Paris, France.

 

Areas of Ms. Tarka’s relevant experience includes entrepreneurship, strategic partnerships, international business and innovative online product development.

 

Jed Kaplan, who served as Chairman of the Board until Ms. Tarka’s appointment, will continue to serve as a member of the Board.
