AMEC plc

Completion of Disposal of Majority Stake in AMEC's Regional French Construction
Business

5 September 2003

AMEC plc, the international engineering services company, announces that it has
today completed the disposal of 51 per cent of the capital of Spie Batignolles,
its regional French construction business, to Financiere Spie Batignolles, the
management buy out vehicle.

The total cash consideration received was Euro15.3 million (#10.7 million), as
expected.

AMEC Chief Executive, Sir Peter Mason, commented: "This transaction, together
with the downsizing of Construction Management activities in North America,
improves AMEC's overall risk profile through furthering its focus on engineering
services and higher margin construction activity, where AMEC has the ability to
add value through its consultancy, design and project management services."
