Item 1.02 Termination of a Material Definitive Agreement.

The employment agreement for Kevin Andrews, Chief Financial Officer for Battalion Oil Corporation, was set to automatically renew on December 28, 2022. On Thursday, December 22, 2022, the Board of Directors determined not to automatically renew the agreement. Mr. Andrews remains as Chief Financial Officer.
