                        Coupon Notes due 2014 (the "Notes")
  Issued pursuant to the US$1,000,000,000 Secured Asset-Backed Medium Term Note 
                        Programme of Solar Funding I Limited

We refer to the above Notes issued by Solar Funding I Limited. Terms used in 
this notice and not otherwise defined shall have the meaning given to them in 
the terms and conditions of the Notes.

Following the determination by The Royal Bank of Scotland plc, as Calculation 
Agent in respect of the Notes, of a Repudiation/Moratorium Credit Event with 
respect to The Republic of Argentina, a Credit Event Notice and Notice of 
Publicly Available Information have been delivered by the Calculation Agent on 
28 December 2001 in accordance with Paragraph 33 of the Pricing Supplement 
relating to the Notes.

Accordingly, with effect from (and including) 28 December 2001, and in 
accordance with Paragraph 33 of the Pricing Supplement, the Interest Rate 
applicable to the Notes has been reduced from 7.9375% to 5.2916% per annum.
