             CML MICROSYSTEMS PLC ("the Company")
                               
On  29  January  1999  the Company acquired 2,000,000  ordinary
shares   of   5p  each  in  the  Company  ("Ordinary   Shares")
representing  12.56 per cent. of the Company's issued  ordinary
share capital at a price of 70.5p per Ordinary Share. Following
this  acquisition the Ordinary Shares are to be  cancelled  and
the Company's issued ordinary share capital will be reduced  to
13,918,818 Ordinary Shares.
