Japanese Accelerated Return Fund II (the "Cell" or the "Fund")

CIRCULAR TO SHAREHOLDERS

The Company has sent to all shareholders a circular convening a separate class meeting of the holders of Participating Cell Shares and a General Meeting of the Company's Shareholders to consider recommended proposals for the orderly realisation of the Fund's portfolio and payment of redemption entitlements to participating Cell shareholders. In addition to the above, the General Meeting will also consider resolutions to re-appoint directors of the Company and to receive the accounts of the Company.
