The claims concern whether the Epocrates Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before entering into this transaction and whether athenahealth, Inc. is underpaying for Epocrates, thus unlawfully harming Epocrates stockholders. In particular, at least one analyst set a price target for Epocrates stock at $15.00 per share.
