NVEEU NV5 Holdings - Unit (MM)

NV5 Holdings, Inc. (the "Company") (NASDAQ: NVEEU), a leading provider of professional and technical engineering and consulting solutions to public and private sector clients in the infrastructure, construction, real estate and environmental markets, announced today that it has priced its initial public offering of 1,400,000 units, each unit comprised of one share of the Company's common stock and one five-year warrant to purchase one share of the Company's common stock, at a public offering price of $6.00 per unit. The units are expected to begin trading on The NASDAQ Capital Market on March 27, 2013 and will trade solely as units until September 27, 2013, following which date the warrants will become exercisable at an exercise price of $7.80 per share and such units, shares and warrants may trade separately under the symbols "NVEEU", "NVEE" and "NVEEW", respectively. The closing of the offering is expected to occur on April 2, 2013, subject to customary closing conditions.

In addition, the Company has granted the underwriters of the offering a 45-day option to purchase up to an additional 210,000 units solely to cover over-allotments, if any.
