Catcha Investment Corp (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (the “2023 Form 10-K”) by April 1, 2024, the prescribed due date because it requires more time to finalize its financial statements to be included in such 2023 Form 10-K. The Company is working diligently to complete the 2023 Form 10-K as soon as possible and anticipates that it will be able to do so within the extension period of fifteen calendar days following the prescribed due date, provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).

For the year ended December 31, 2023, the Company expects to report a net loss of approximately $6 million (unaudited) compared to net income of approximately $11.6 million for the year ended December 31, 2022.

 

The Company expects such net losses for 2023 primarily due to increased operating expenses relating to the Business Combination Agreement the Company entered into on August 3, 2023, compared to prior year ended December 31, 2022 that had interest income of approximately $4 million and a positive change in fair value of warrant liability of approximately $8 million.

 

The amounts reported above are still under review and may differ once reported in the 2023 Form 10-K.
