Our Company
Euronav NV was incorporated under the laws of Belgium on June 26, 2003, and we grew out of the combination of certain tanker businesses carried out by three companies that had a strong presence in the shipping industry: Compagnie Maritime Belge NV, formed in 1895, Compagnie Nationale de Navigation SA, formed in 1938, and Ceres Hellenic Shipping Enterprises Ltd., formed in 1950. Our predecessor started doing business under the name "Euronav" in 1989.
We are a fully-integrated provider of international maritime shipping and offshore services engaged primarily in the transportation and storage of crude oil. As of June 1, 2023, we owned or operated a modern fleet of 66 vessels with an aggregate carrying capacity of approximately 17.3 million deadweight tons, or dwt, consisting of 42 very large crude carriers (VLCCs), one V-plus, 21 Suezmax vessels, and two floating, storage and offloading vessels (FSOs). The average age of our fleet as of June 1, 2023, was approximately 7.8 years for our VLCC fleet and 10.3 years for our Suezmax fleet, as compared to an industry average age as of June 1, 2023 of approximately 10.9 years for the VLCC fleet and 11.2 years for the Suezmax fleet.
We currently charter our vessels on time charters, non-exclusively, to leading international energy companies, such as North Oil Company (whose shareholders are Qatar Petroleum Oil & Gas Limited and Total E&P Golfe Limited) and Valero or their respective subsidiaries, although there is no guarantee that these companies will continue their relationships with us.
We pursue a chartering strategy that seeks an optimal mix of employment of our vessels depending on the fluctuations of freight rates in the market and our own judgment as to the direction of those rates in the future. Our vessels are therefore routinely employed on a combination of spot market voyages, fixed-rate contracts and long-term time charters, which typically include a profit sharing component.
We principally employ our VLCCs through the TI Pool, a spot market-oriented pool in which we were a founding member in 2000.
As of June 1, 2023, 17 of our vessels were employed directly in the spot market, 40 of our vessels were employed in the TI Pool and six of our vessels were employed on long-term charters. Our two FSOs, FSO Asia and FSO Africa, were employed on long-term service contracts and our V-Plus vessel, Oceania, was used for storage.
While we believe that our chartering strategy allows us to capitalize on opportunities in an environment of increasing rates by maximizing our exposure to the spot market, our vessels operating in the spot market may be subject to market downturns to the extent spot market rates or need for spot voyages decline.
At times when the freight market may become more challenging, we typically shift our exposure to more time charter contracts to the extent allowed by market conditions and potentially dispose of some of our assets which should provide us with incremental stable cash flows and stronger utilization rates supporting our business during periods of market weakness.
We believe that our chartering strategy and our fleet size management, combined with the leadership of our experienced management team should enable us to capture value during cyclical upswings and to withstand the challenging operating environment such as the one seen in the years from 2010 to 2013, 2018 and again since 2021.
Our ordinary shares have traded under the symbol "EURN" on Euronext Brussels since December 2004 and the New York Stock Exchange since January 2015.

Recent Developments
On May 16, 2023, the Supervisory Board announced the departure of its Chief Executive Officer, Hugo De Stoop, with immediate effect by mutual agreement. Chief Financial Officer, Lieve Logghe, has agreed to take over as interim Chief Executive Officer.
On May 17, 2023, the Company announced the results of the General Meeting of Shareholders approving the appointment of Mrs. Julie De Nul and Mr. Ole Henrik Bjørge to the Supervisory Board with Mr. Carl Trowell’s term and Mrs. Anita Odera’s term coming to an end.  The Company further announced that its General Counsel, Egied Verbeeck, is stepping down with immediate effect by mutual agreement.
Corporate Structure
We were incorporated under the laws of Belgium on June 26, 2003. We own our vessels either directly at the parent level, indirectly through our wholly-owned vessel owning subsidiaries. We conduct our vessel operations through our wholly-owned subsidiaries, including Gener8 Maritime, Inc. (which became a wholly-owned subsidiary as a result of the Agreement and Plan of Merger completed in June 2018), Euronav Ship Management SAS, Euronav SAS, Euronav Ship Management (Hellas) Ltd. and Euronav Singapore Pte. Ltd., and also through the TI Pool. Our subsidiaries and 50%-owned joint ventures are incorporated under the laws of Belgium, France, United Kingdom, Liberia, Luxembourg, Cyprus, Hong Kong, Singapore and the Marshall Islands. Our vessels are flagged in Belgium, the Marshall Islands, France, Liberia and Greece.

Pursuant to the new Belgian Code of Companies and Associations, which entered into force on January 1, 2020, the enforceability of the Belgian Indemnification Agreement and the New York Indemnification Agreement may be limited.
