Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2023, David F. Byrnes informed Madison Square Garden Entertainment Corp. (the “Company”) of his resignation as Executive Vice President and Chief Financial Officer effective December 8, 2023 to accept a position at another company. Mr. Byrnes’ resignation from the Company is not a result of any disagreement with the Company’s independent auditors or any member of management on any matter of accounting principles or practices, financial statement disclosure or internal controls. In connection with Mr. Byrnes’ resignation, Philip G. D’Ambrosio, the Company’s Executive Vice President and Treasurer, will serve as the Company’s interim principal financial officer.
