Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 9, 2023, Jennifer Fox, the Chief Financial Officer of Nuvation Bio Inc. (the “Company”), notified the Company of her decision to pursue a new opportunity and resign from her position at the Company effective November 27, 2023. Ms. Fox’s resignation is not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Members of the executive management team and the Company’s finance team will assume the duties and responsibilities of the Chief Financial Officer office.
