Entry into a Material Definitive Agreement.

 

Item 2.03

Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

As previously described in its reports filed with the Securities and Exchange Commission, Xenonics Holdings, Inc. (the “Company”) has received (1) loans in the aggregate principal amount of $1,450,000 that are secured by the Company’s assets and (2) unsecured loans in the aggregate principal amount of $525,000. On October 31, 2013, the date on which the entire principal balance of these loans is due and payable was extended to December 15, 2013 pursuant to an agreement between the Company and the holders of the promissory notes.
