                               Additional Listing



The Company issued, on 16 June 2003, 2,161,421 ordinary shares of 25p each ("New
Ordinary Shares") in connection with the acquisitions of Czipin & Partner
Managementberatung GmbH ("Czipin") and Parson Group, LLC ("Parson").

1,967,237 shares relate to Czipin, which was acquired on 31 May 2001 and 194,184
shares have been issued to vendors of Parson under the terms of the Membership
Interest Purchase Agreement dated 2 May 2002. The new shares rank pari passu in
all respects with the existing ordinary shares in issue.

Application has been made for the New Ordinary Shares to be admitted to the
Official List of the UK Listing Authority and to be admitted to trading on the
London Stock Exchange. It is expected that admission of the New Ordinary Shares
will become effective on 20 June 2003.
