              RECOMMENDED CASH OFFER FOR NEWPORT HOLDINGS PLC

The Offer Document relating to the Offer by Shore Capital and Corporate Limited
on behalf of Mintglade Limited, a wholly owned subsidiary of Structadene
Limited, for Newport Holdings PLC, announced on 22 September 2003, has today
been posted to Newport Shareholders.
