U.S.$20,000,000 Subordinated Floating Rate Notes due 2006 (the "Notes")

In accordance with Rule 23.22(f) of the Listing Rules, we hereby notify you of 
the amendment to each of the maturity date and the interest rate of the above-
referenced Notes.


The maturity date of the Notes was previously 28th September, 2003 and, as of 
10th December, 2001 the maturity date of the Notes will be 28th December, 2006. 
The interest rate of the Notes was previously floating rate and, as of 28th 
December, 2001 (as adjusted according to the terms of the Notes), the interest 
rate of the Notes will be fixed rate. The holders of the Notes have consented to
the above amendments by way of extraordinary resolution.
