Results of EGM

Lionheart plc ("Lionheart" or "the Company") announces that, at the EGM held
this morning, all the resolutions were passed, including the resolution that the
Company be wound up voluntarily.  Jeremy Spratt and Stephen Treharne of KPMG
LLP, 8 Salisbury Square, London EC4Y 8BB were appointed joint liquidators for
the purposes of winding up the Company.

As previously announced on 17 April 2003, shares in Lionheart were suspended as
of 8 May 2003 and will be de-listed from 9 May 2003.

Lionheart shareholders will be informed in due course as to the timing and
quantum of any distributions and should retain their share certificates.
