Dear Sir,

Technoplast Industries Ltd. (hereinafter: "the Company") has announced to the
Tel Aviv Stock Exchange and to the Israeli Securities Authority as an immediate
report, that the convening of the extraordinary general meeting initially set
for 8 July 2004 has been postponed to 28 July 2004 09:30. All other details with
respect to the said extraordinary general meeting remain unchanged.

The postponement is due to the need to file an immediate report with respect to
a transaction between the Company and its controlling shareholder.

The annual general meeting of the Company's shareholders shall be convened on
its set date (8 July 2004).
