On January 18, 2024,
Akerna Corp. (“Akerna” or the “Company”) reconvened the Company’s previously adjourned 2023 annual meeting
of stockholders (the “Annual Meeting”). 2,550,206 shares of common stock were present at the Annual Meeting in person or by
proxy which did not constitute a quorum under the Company’s bylaws.
At the Annual Meeting,
pursuant to the Company’s bylaws, by motion made by the chairperson of the Annual Meeting, a majority of the stockholders present
at the Annual Meeting, represented by proxy or in person, voted to dismiss the Annual Meeting for lack of quorum.
