GREEN BAY, Wis., Dec. 29 /PRNewswire-FirstCall/ -- ShopKo Stores, Inc. announced today that its offer to purchase (the "Offer") any and all of its outstanding $100 million principal amount of 9-1/4% Senior Notes due 2022 (the "Notes") expired and ShopKo has repurchased all validly tendered Notes. The Offer expired as of 5:00 p.m., New York City time, on December 28, 2005 and all of the conditions contained in the Offer have been satisfied or waived as previously announced. As of the expiration of the Offer, $94,301,000 in aggregate principal amount of the Notes were validly tendered. This amount represents approximately 94.3% of the outstanding principal amount of the Notes. ShopKo has repurchased all of the Notes that were validly tendered prior to the expiration of the Offer. ShopKo announced on August 15, 2005 that it had received the requisite consents to amend the indenture governing the Notes. ShopKo executed a supplemental indenture on August 16, 2005, eliminating substantially all of the restrictive covenants and certain events of default in the indenture governing the Notes. Notes that were not validly tendered in the Offer and remain outstanding will continue to be subject to the terms of the indenture as so amended.
