Unregistered Sales of Equity Securities.
 
On December 31, 2010, Helix BioMedix, Inc. (the “Company”) issued to 7 accredited investors an aggregate of 999,731 shares of the Company’s Common Stock at a purchase price per share of $0.60 for an aggregate purchase price of $599,838.60. This issuance was exempt from registration pursuant to Rule 506 of Regulation D under Section 4(2) of the Securities Act of 1933, as amended.
