Departure
of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.

Mr.
Frank A. Walters, the Company’s Chief Financial Officer, has informed the Company of his intent to retire effective October
1, 2020. The Company’s Board of Directors has started a search for a new Chief Financial Officer. Mr. Walter has served
as Secretary, Treasurer and Chief Financial Officer of the Company since March of 2018.
In
connection with Mr. Walters’s separation, the Company and Mr. Walters entered into a Severance Agreement and terminated
the Amended and Restated Executive Employment Agreement between the Company and Mr. Walters dated as of May 16, 2019. In addition,
the Company and Mr. Walters entered into a First Amendment to Severance Agreement pursuant to which Mr. Walters will serve as
the Company’s Interim Chief Financial Officer effective October 1, 2020 and until the earlier of December 31, 2020 or the
date when his successor is appointed.
