VICTORY ACQUISTION CORP. As previously disclosed, Victory Acquisition Corp. (“Victory”) and TouchTunes Corporation (“TouchTunes”) have entered into a merger agreement pursuant to which TouchTunes will become a wholly-owned subsidiary of Victory following approval of the merger by Victory’s stockholders (the “Merger”).

On April 22, 2009, Victory issued a press release announcing certain information relating to the Merger and Victory’s special meeting of stockholders. A copy of the press release for such announcement is attached to this Report as Exhibit 99.1.
