Directors Shareholding

The Company was advised today that on 9 July 2004 R L Court, a Director of the
Company, purchased 11,000 shares in the Company at 162p per share and B S Keys,
a fellow Director of the Company, purchased 5,500 shares in the Company at 162p
per share.

R L Court's & B S Keys' previous and current beneficial holdings are as follows:

at 162p per share.

R J Cleaver and B S Keys, both Directors of the Company, are beneficially
interested in the Scheme.

The Scheme's previous and current shareholdings are as follows:
