to be effected by means of a Scheme of Arrangement under
Part 26 of the Companies Act 2006
TIMETABLE UPDATE
On 14 October 2019, the boards of Sophos Group PLC ("Sophos")
and Surf Buyer Limited, a newly formed company owned by funds
managed and/or advised by Thoma Bravo, LLC ("Bidco") announced the
terms of a recommended cash offer pursuant to which Bidco will
acquire the entire issued and to be issued share capital of Sophos
(the "Acquisition") to be effected by means of a Court-sanctioned
scheme of arrangement under Part 26 of the Companies Act (the
"Scheme"). The circular in relation to the Scheme (the "Scheme
Document") was posted to Sophos Shareholders on 8 November
2019.
On 25 February 2020, Sophos announced that the High Court of
Justice in England and Wales (the "Court") had sanctioned the
Scheme and that the Scheme was expected to become Effective, and
Sophos Shares suspended from trading, on 27 February 2020.
Further to the announcement made by Sophos on 26 February 2020
regarding the delay to the timetable to allow Sophos and Bidco the
opportunity to discuss with the UK Financial Conduct Authority (the
"FCA") the status of a limited permission held by a subsidiary of
Sophos, Sophos and Bidco are pleased to announce that the FCA has
approved the cancellation of Sophos' permission, which is no longer
required for the operation of Sophos' business.
The Acquisition therefore remains subject only to the delivery
of a copy of the Court Order to the Registrar of Companies.
Delivery, and therefore the Effective Date, is expected to take
place on 2 March 2020.
Applications have been made for the suspension of trading in
Sophos Shares on the London Stock Exchange's main market for listed
securities and the listing of Sophos Shares on the premium listing
segment of the Official List of the Financial Conduct Authority and
such suspensions are expected to take effect from 7:30 a.m. on 2
March 2020. The last day of dealings in, and for the registration
and transfer of, the Sophos Shares will be 28 February 2020. The
de-listing of Sophos Shares from the premium listing segment of the
Official List of the Financial Conduct Authority and the
cancellation of the admission to trading of Shares on the London
Stock Exchange's main market for listed securities have also been
applied for and will, subject to the Scheme becoming effective,
take effect at 8 a.m. (London time) on 3 March 2020.
All valid elections made pursuant to the Currency Election
facility prior to the Election Return Time remain valid.
Effective Date and Timetable
The revised timetable of principal events for the implementation
of the Scheme is set out below. If any change to the key dates
and/or times set out in the timetable are made, Sophos and Bidco
will give notice of this change by issuing an announcement through
a Regulatory Information Service and by making such announcement
available on Sophos' website at https://investors.sophos.com .
