Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

 

Over two years ago and on March 26, 2021, Mass Megawatts Wind Power, Inc. filed the information statement shown in Exhibit 99.1 with OTC Markets News and Disclosure Service (News) since the Company was a non-SEC reporting company and an” Alternate Reporting Company” regulated by OTC Markets at the time. Mass Megawatts became a SEC Reporting Company in 2022. The Information Statement was also sent to every shareholder including shares held with DTCC (CEDE and Company) in March 2021 as required under Massachusetts Business Law. The Information Statement was related to amendments to the articles of incorporation related to changing the name of the Company and increasing the authorized shares.

 

In an update on June 26,2023, the Company has nearly completed the process of changing the name of the Company from Mass Megawatts Wind Power, Inc. to Mass Megawatts, Inc. The CUSIP number will remain the same. Since most of our business has been involved with solar energy related activity since 2014, we believe that changing our name from Mass Megawatts Wind Power, Inc. to Mass Megawatts, Inc. is a reasonable action to reflect the business of the Company more accurately in recent years. At the same time, the Company will continue with wind power activities while most of our business will be primarily with solar power.

 

The filing of this 8K discloses information that was not previously disclosed on SEC EDGAR since the Company was not a SEC reporting company at any time during the year 2021.
