The compilation, dissemination and review of the information required to be presented in the Form 20-F, including the annual financial statements, for the period ending December 31, 2016 could not be completed and filed by Natcore Technology Inc. (the “Registrant”) without undue hardship and expense to the Registrant. The Registrant intends to file its Form 20-F pursuant to the 15-day extension period afforded by SEC Rule 12b-25 under the Securities Exchange Act of 1934.
