Remarks:
The shares of common stock were acquired and are owned directly by Retail & Restaurant Growth Capital, L.P., a Delaware limited partnership ("RRGC") in the August 2011 transaction with TLLP Partners LLC, the majority holder of the Company's outstanding securities, as disclosed in the Company's public filings and Stratford's Schedule 13D, as amended to date, filings. Mr. Hemmig is an executive officer of RRGC, RRGC GP and RRGC Corp., as defined below. Retail & Restaurant Growth Management, Inc., is a Delaware corporation and the general partner of Retail & Restaurant Growth Partners, L.P., a Delaware limited partnership and the general partner of RRGC ("RRGC GP") ("RRGC Corp."). As a result, Mr. Hemmig may be deemed to have shared power to vote, or direct the disposition of, and to dispose, or direct the disposition of, the common stock held of record by RRGC. He disclaims beneficial ownership of such securities and this report is not an admission that he is the beneficial owner of such securities for purposes of Section 16 or for any other purpose, except to the extent of his pecuniary interest therein.
